Terms of Service — PROPELOO
Effective Date: January 1, 2026. These Terms of Service set forth the legal terms and operational conditions governing the access and use of the PROPELOO website, software deliverables, and engineering consulting engagements.
1. Acceptance of Terms & Scope of Services
By accessing propeloo.com or contracting PROPELOO for software development, technical architecture consulting, protocol engineering, or smart contract auditing, you agree to be legally bound by these Terms of Service. If you are entering into this agreement on behalf of a corporation or entity, you represent that you possess the legal authority to bind that entity to these conditions.
2. Intellectual Property & Source Code Assignment
Unless explicitly stipulated otherwise in an executed Master Services Agreement (MSA) or Statement of Work (SOW), all custom software source code, system architecture diagrams, database schemas, API definitions, and product documentation created specifically for a client become the exclusive intellectual property of the client upon receipt of full milestone payment. PROPELOO provides direct, unhindered access to private Git repositories from sprint kickoff.
PROPELOO retains proprietary ownership of our pre-existing developer utilities, modular base libraries, and general reusable engineering frameworks used during development, granting the client a perpetual, irrevocable, worldwide license to utilize them within the delivered software.
3. Warranties, Liability Caps & Disclaimers
PROPELOO delivers software in accordance with professional engineering standards and rigorous QA testing protocols. However, web software, distributed protocols, and smart contracts operate in dynamic environments. PROPELOO's total aggregate liability arising out of or related to our services is strictly limited to the actual fees paid by the client under the applicable statement of work in the preceding three-month period.
4. Governing Law & Dispute Resolution
These terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of India. Any legal dispute shall be subject to the exclusive jurisdiction of the competent courts in Madurai, Tamil Nadu, India, or resolved through binding arbitration under the Indian Arbitration and Conciliation Act.
